Sale of Immovable Property via Contract of Sale – Rights Arising Only Upon Registration with the Land Registry
Only in the event that a contract for the sale of land or immovable property is deposited/registered with the Land Registry does the purchaser acquire rights in respect of the property which may constitute the subject of specific performance, pursuant to the the Sale of Immovable Property (Special Enforcement) Law of 2011 (81(I)/2011).
A number of Cypriot judicial decisions have consistently held that a contract for the sale of land and/or immovable property, by itself, does not confer upon the purchaser the right to demand registration of the property in their name in cases of rescission and/or breach of the contract. In the absence of registration of the written contract with the Land Registry in accordance with the Sale of Immovable Property (Special Enforcement) Law of 2011 (81(I)/2011), the purchaser’s rights in the event of breach are limited to a claim for damages only.
Case Law: Markidou v. Kiliaris and Another (1983) 1 C.L.R. 392
In this case, the Court held the following:
“The rights acquired under a contract for the sale of land are personal and, as such, prima facie assignable. A contract for the sale of land does not create an estate in land, that is, rights in rem.” (p. 403)
Creation of Rights in Rem – Registration under the Sale of Immovable Property (Special Enforcement) Law of 2011 (81(I)/2011)
A right in land and/or immovable property arises only where the sale is effected by a written contract of sale which is deposited with the Land Registry pursuant to Law of 2011(81(I)/2011). Such registration may confer upon the purchaser the right to seek and/or claim specific performance of the contract by the Court, provided that the statutory requirements of Law of 2011 (81(I)/2011) have been properly complied with.
In the same case (Markidou v. Kiliaris), the Court further explained at page 404:
“A contract for the sale of land creates, like any other contract, rights in personam. An estate in land may accrue from adherence to the provisions of Cap. 232. Short of observance of the provisions of Cap. 232, a contract for the sale of land merely confers personal rights, that is, rights against the counter-contracting party, in the event of breach. It does not give any rights over the land. As Goulding, J. observed in Property Discount Corporation v. Lyon Group [1980] 1 All E.R. 334, a contract gives an interest in land only if it gives the power to require a grant of the land without further permission of the owner. In other words, if it puts it beyond the reach of the owner to withhold consent to the conveyance.”
Subsequent Case Law and Legislative Primacy
The above principle was adopted in the subsequent decision of Christofides v. Kotzanastasis (1993) 1 A.A.D. 718, where it was explained that, since the matter is specifically regulated by Cypriot legislation, namely Law of 2011 (81(I)/2011), the principles of equity yield to statute. Only upon registration of the contract of sale with the Land Registry does the purchaser acquire rights in the immovable property which may be the subject of specific performance, as expressly provided by Law of 2011 (81(I)/2011)
(see also Erotokritou v. Theodorou et al. and Kanara v. Protopapas (1998) 1 A.A.D. 801).
Equitable Ownership and Constructive Trust
In Christou Andrikos Nikou and Another v. Giorgos Georgiou (1999) 1 A.A.D. 940, the Honourable President G. M. Pikis stated the following (pp. 14–15):
“Registration of the contract with the Land Registry pursuant to Cap. 232 conferred upon the appellants (plaintiffs) the right to seek registration of the property in their name against all others. They became potential owners of the property in equity. Conversely, the only right of the respondent (defendant) arising from the breach of the contract was a claim for damages,” since he had failed to deposit the contract of sale with the Land Registry in accordance with Cap. 232 which now has been replaced by Law of 2011 (81(I)/2011). (p. 14)
The Court further stated:
“Once the appellants (plaintiffs) acquired, through the registration of the contract in the Land Registry records, the right of specific performance, they became the owners of the land in equity, and the vendor became, by implication, a constructive trustee of their rights, subject to the respective rights and obligations arising under the contract.” (p. 15)
Doctrinal Authority
The above principle is also clearly stated in Snell’s Equity, at page 195:
“As soon as a specifically enforceable contract for the sale of land is made (and registered with the Land Registry pursuant to Cap. 232 – our clarification), the purchaser becomes the owner of the land in equity, and the vendor becomes a constructive trustee of the land for the purchaser, subject in each case to their respective rights and duties under the contract.”
It must be emphasised, however, that in Cyprus, the right of specific performance is acquired exclusively and only through registration of the contract of sale with the Land Registry, in strict compliance with the provisions and requirements of Law of 2011 (81(I)/2011).
Further Authority: Restriction on Disposal
In the later decision of Dryades et al. v. Kalispera (1998) 1 A.A.D. 881, the Court further held that registration of the contract pursuant to Law of 2011 (81(I)/2011) intervenes and/or creates an impediment to the disposal of the property by the owner to any third party.
In that decision, the Court contrasted the provisions of Law of 2011 (81(I)/2011) with those of section 76 of Cap. 149 (Contracts Law) and distinguished their respective scope. The following excerpt clarifies the Court’s position:
“Section 2 of Cap. 232 renders a contract for the sale of immovable property capable of specific performance only where the conditions prescribed therein are satisfied. The purpose of this Law is to determine, in contrast to other types of written contracts, distinct conditions for a contract to be capable of specific performance. These conditions differ from those set out in section 76 of Cap. 149. The powers conferred respectively by section 76 and Cap. 232 cannot coexist in relation to contracts for the sale of immovable property. This was the intention of the legislator in enacting the provisions of subsection (2) of section 76 of Cap. 149.”
Conclusion
Accordingly, the registration of a contract for the sale of land and/or immovable property with the Land Registry pursuant to Law of 2011 (81(I)/2011) constitutes a substantial legal advantage, creating prima facie rights in rem over the property being sold.

Πώληση Ακίνητης Ιδιοκτησίας μέσω Σύμβασης Πώλησης – Δικαιώματα που Απορρέουν Μόνο κατόπιν Εγγραφής στο Κτηματολόγιο
Σύμβαση πώλησης ακινήτου — Μόνο στην περίπτωση εγγραφής της σύμβασης στο Κτηματολόγιο ο αγοραστής αποκτά δικαιώματα επί του ακινήτου, τα οποία μπορεί να αποτελέσουν το αντικείμενο ειδικής εκτέλεσης, δυνάμει του Περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011).
Αριθμός Κυπριακών αποφάσεων, διαπύστωσε ότι η σύμβαση πώλησης γης ή/και ακινήτου απο μόνη της δεν παρέχει δικαίωμα στον αγοραστή να απαιτήσει την εγγραφή του ακινήτου επ’ ονόματι του σε περίπτωση διάρρηξης ή/και παράβασης της σύμβασης. Τα δικαιώματα του αγοραστή σε περίπτωση διάρρηξης ή/και παράβασης σύμβασης πωλήσης περιορίζονται στη διεκδίκηση αποζημιώσεων σε περίπτωση που δεν έχει γίνει εγγραφή της εν λόγω γραπτής σύμβαση στο κτηματολόγιο βάσει του Περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011).
Στη Markidou v. Kiliaris and Another (1983) 1 C.L.R. 392, λέχθηκε το εξής:-
“The rights acquired under a contract for the sale of land are personal and, as such, prima facie assignable. A contract for the sale of land does not create an estate in land, that is, rights in rem.“ (σελ.403)
Δικαίωμα επί της γης ή/και ακινήτου δημιουργείται μόνο εφόσον η πώληση γίνεται με γραπτή σύμβαση πώλησης, η οποία εγγράφεται στο Κτηματολόγιο βάσει του περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011), η οποία εγγραφή μπορεί να δημιουργήσει το δικαίωμα στον αγοραστή να διεκδικήσει ή/και αξιώσει την τήρηση της εν λόγω σύμβασης πώλησης μέσω της ειδικής εκτέλεσης της απο το Δικαστήριο, σε περίπτωση που ακολουθήθηκαν σωστά οι προυποθέσεις του περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011).
Στη ίδια υπόθεση στην σελ. 404 εξηγήθηκε ότι:
“A contract for the sale of land creates, like any other contract, rights in personam. An estate in land may accrue from adherence to the provisions of Cap. 232. Το παραπάνω απόσπασμα υιοθετήθηκε στη μεταγενέστερη απόφαση της Χριστοφίδη ν. Κοτζαναστάση (1993) 1 Α.Α.Δ. 718, και εξηγήθηκε ότι εφόσον το εν λόγω θέμα ρυθμίζεται ειδικά από τη νομοθεσία της Κύπρου, ήτοι του περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011), οι αρχές της επιείκειας υποχωρούν. Μόνο στην περίπτωση εγγραφής της σύμβασης πώλησης στο Κτηματολόγιο, ο αγοραστής αποκτά δικαιώματα επί του ακινήτου, τα οποία μπορεί να αποτελέσουν το αντικείμενο ειδικής εκτέλεσης, όπως αναγράφει ο περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) – (Βλ. Ερωτοκρίτου ν. Θεοδώρου κ.ά. . Σχετική είναι και η απόφαση στην Καναρά ν. Πρωτοπαπά (1998) 1 A.A.Δ. 801).
Στην υπόθεση Χρίστου Αντρίκκος Νίκου και Άλλη ν. Γιώργο Γεωργίου (1999) 1 ΑΑΔ 940, ο έντιμος Γ.Μ. Πικής, Π. ανέφερε τα ακόλουθα(σελ.14-15):
«Η εγγραφή της σύμβασης στο Κτηματολόγιο βάσει του ΚΕΦ. 232 παρείχε δικαίωμα στους εφεσείοντες(ενάγοντες) να ζητήσουν την εγγραφή του ακινήτου επ’ ονόματι τους έναντι παντός άλλου. Κατέστησαν δυνητικά οι ιδιοκτήτες του ακινήτου, κατά το δίκαιο της επιείκειας. Αντίθετα το μόνο δικαίωμα του εφεσίβλητου(εναγόμενου) από τη διάρρηξη της σύμβασης ήταν η διεκδίκηση αποζημιώσεων.», αφού δεν προέβησε σε εγγραφή της σύβασης πώλησης του βάσει του ΚΕΦ. 232, ο οποίος νόμος καταργήθηκε και και αντικαταστάθηκε απο τον περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) στο κτηματολόγιο. σελ.14
«Εφόσον οι εφεσείοντες(ενάγοντες) απέκτησαν, με την εγγραφή του συμβολαίου στα κτηματολογικά αρχεία, δικαίωμα ειδικής εκτέλεσης της σύμβασης, κατέστησαν οι ιδιοκτήτες της γης, κατά το δίκαιο της επιείκειας, και ο πωλητής εξ επαγωγής εμπιστευματοδόχος (constructive trustee) των δικαιωμάτων τους, τηρουμένων των αντίστοιχων δικαιωμάτων και υποχρεώσεων βάσει της σύμβασης.»σελ.15
Η πιο πάνω αρχή είναι ξεκάθαρη και στο σύγγραμμα “Snell’s Equity” όπου αναγράφεται το εξής απόσπασμα στην σελ. 195:
“As soon as a specifically enforceable contract for the sale of land is made,(and registered to the land registry according to Cap. 232. – this is our intervention) the purchaser becomes the owner of the land in equity, and the vendor becomes a constructive trustee of the land for the purchaser, subject in each case to their respective rights and duties under the contract.“
Ξεκαθαρίζουμε όμως όπως έχουμε προαναφέρει, στην Κύπρο το δικαίωμα Ειδικής Εκτέλεσης κτάται αποκλειστηκά και μόνο με την εγγραφή της σύμβασης πώλησης στο κτηματολόγιο και τήρηση των σχετικών άρθρων ή/και προυποθέσεων του περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) .
Επίσης να σημειωθεί ότι σε μεταγενέστερη απόφασή επί του ιδίου ζητήματος, Δρυάδης κ.ά. ν.Καλησπέρα (1998) 1 A.A.Δ. 881, διαπιστώνεται περαιτέρω ότι η εγγραφή της σύμβασης, βάσει του πλέον περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) , παρεμβάλλει ή/και δημιουργεί, εν πάση περιπτώσει, κώλυμα στη διάθεση του πωλούμενου ακινήτου από τον ιδιοκτήτη σε οποιοδήποτε άλλο πρόσωπο. Στην ίδια απόφαση, αντιδιαστέλλονται οι σχετικές διατάξεις του πλέον περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) με εκείνες του Άρθρου 76 του ΚΕΦ. 149και διακρίνονται οι πρόνοιές τους. Το παρακάτω σχετικό απόσπασμα επεξηγεί τη θέση του σεβαστού Δικαστηρίου στο επίμαχο ζήτημα:-
«Το Άρθρο 2 του ΚΕΦ. 232 καθιστά την πώληση ακινήτου δεκτική ειδικής εκτέλεσης, μόνο όπου συντρέχουν οι προϋποθέσεις που καθορίζονται από τις πρόνοιές του. Σκοπός του Νόμου αυτού είναι ο καθορισμός, σε αντιδιαστολή προς άλλης φύσης γραπτές συμβάσεις, ξεχωριστών προϋποθέσεων, για να είναι η σύμβαση δεκτική ειδικής εκτέλεσης. Οι προϋποθέσεις αυτές είναι διάφορες από εκείνες που καθορίζονται στο Άρθρο 76 του Κεφ. 149. Η εξουσία η οποία παρέχεται, αντίστοιχα, από το Άρθρο 76 και το ΚΕΦ. 232, δεν μπορεί να συνυπάρχει σε σχέση με συμβάσεις για την πώληση ακινήτων. Και αυτός ήταν ο σκοπός του νομοθέτη, με τη θεσμοθέτηση των προνοιών του εδαφίου (2) του Άρθρου 76 του Κεφ. 149.»
Συνεπώς, η εγγραφή της σύμβασης πώλησης γης ή/και ακινήτου στο Κτηματολόγιο βάσει των προυποθέσεων του περί Πώλησης Ακινήτων (Ειδική Εκτέλεση) Νόμος του 2011 (81(I)/2011) συνιστά τεράστιο πλεονέκτημα και δημιουργία prima facie right in rem επί της πωλούμενης γης και ακινήτου.
